The following is the procedure for registration of a foreign company:
a) Conduct a name search. Before using the proposed name for the company, a
search of name has to be done to determine whether the name can be used to
register the foreign company. The steps are:
i) Complete Form 13A.
ii) Pay RM30 fee for each name applied.
The name to be used to register the foreign company in Malaysia should be
the same as the one registered in its country of origin.
If the proposed name is approved, it shall be reserved for three months from
the date of approval. The documents for registration, as listed on the next
page, must be filed within the three months.
b) Submit the following documents:
i) a certified copy of the certificate of incorporation or registration in
its place of incorporation or origin or a similar document;
ii) a certified copy of, its charter, statute or Memorandum and Articles of
Association or other instrument defining its constitution;
iii) Form 79 – list and particulars of directors of the foreign company. If
the list includes directors resident in Malaysia who are members of the
local board of directors, include a memorandum stating their powers.
iv) A memorandum of appointment or power of attorney authorising a person
resident in Malaysia, or a company as an agent, to accept on its behalf
service of process and any notices to be served on the company;
v) Form 80 – a statutory declaration made by the agent of the company;
vi) original copy of Form 13A;
vii) copy of the letter approving the name.
c) Registration fees for share capital are as per payment schedule for
authorised share capital of local companies.
